Shareholders, directors and disputed decisions
A disagreement between shareholders does not in itself establish a corporate offence. We examine the alleged conduct, company records and the role of those involved, distinguishing commercial issues from potentially criminal matters.
Reviewing accounts and company resolutions
We assess minutes, accounts, correspondence and information requests relevant to the allegations. The sequence of resolutions and each person’s involvement help establish the position of a director, the company or a shareholder.
Defence or assessment of criminal action
We assess assistance for a director or shareholder under investigation and, where appropriate, for an affected party. Before bringing a criminal complaint, we consider its basis, the available evidence and any conflicts of interest.
Useful documents for an initial discussion
- Relevant company articles, minutes and resolutions.
- Accounts and shareholder correspondence.
